Kaycan Ltd., a North American leader in vinyl, aluminum and engineered wood siding, trim and aluminum building products, announced today that it has successfully finalized its acquisition of Uniboard Canada Inc., a leader in engineered wood products. Kaycan had previously entered into an all cash for shares deal with Uniboard's parent company Pfleiderer Canada Inc. on September 5, 2012.

The Uniboard facilities sold to Kaycan include three particleboard lines, one MDF line, five thermofused melamine lines, a resin plant and two laminate flooring lines servicing primarily the Canadian, US Northeast and Mid-West US markets. Montreal-headquartered Kaycan is a private Canadian corporation focused on the North American building industry. With Uniboard, Kaycan extends its decorative reach from the exterior to the interior of houses and opens up new commercial, non-residential and institutional market segments.

The Uniboard Quebec-based facilities have a total annual capacity of 640 MMSF and Uniboard is the largest composite panel manufacturer in Canada and among the top 4 in North America. Uniboard is the only Canadian laminate flooring manufacturer.

Kaycan's President, Lionel Dubrofsky, stated, "This acquisition brings together two major Quebec-based manufacturing companies with a common vision of providing customers with solutions to enhance both living and working spaces. We continue in developing a unique offering to our client base, combining an enlarged range of products for interior and exterior home as well as commercial decoration."

James N. Hogg, President of Uniboard, added "the conclusion of this transaction starts a new era for Uniboard as part of a strong North American group bringing a solid financial basis and a clear vision to drive the business of our panel and flooring business forward. Clients throughout our core markets in Canada and the US will benefit from the combined operating experience and renewed focus on growth in Uniboard's core markets."
